WEBSITE TERMS AND CONDITIONS
FOR INDIVIDUAL USERS


1. Definitions and interpretation

In these Terms and Conditions, unless the context indicates otherwise:

  • "AARTO" means the Administrative Adjudication of Road Traffic Offences Act 46 of 1998;

  • "Account" means your user account created on the Platform to access the Services;

  • "Enforcement Order" means a payment demand issued by an Issuing Authority for immediate settlement of outstanding traffic fines that have progressed to the enforcement stage;

  • "FineHub", "we", "us", or "our" means FineHub (Pty) Ltd, Registration Number 2025/564482/07;

  • "Issuing Authority" or "Issuing Authorities" means municipalities, traffic departments, AARTO, Subscription-Based Enforcement Providers, and any other entity authorized to issue traffic fines;

  • "NATIS" means the National Traffic Information System;

  • "Personal Information" means information relating to an identifiable natural person as defined in POPIA;

  • "Platform" means FineHub's web-based traffic fines aggregation, payment, and management system accessible at [INSERT WEBSITE URL];

  • "POPIA" means the Protection of Personal Information Act 4 of 2013;

  • "Redirection Services" means services involving the redirection of traffic fines to the actual driver or responsible party before payment is processed;

  • "Representation Services" means legal representation and advocacy services in respect of traffic fine infringements;

  • "RTMS" means Road Traffic Management System;

  • "Services" means all traffic fine aggregation, payment processing, redirection, representation, and related services provided by FineHub through the Platform;

  • "Subscription Fees" means monthly recurring charges levied by Subscription-Based Enforcement Providers, calculated per vehicle;

  • "Subscription-Based Enforcement Providers" means third-party traffic law enforcement service providers that issue fines on behalf of municipalities and levy monthly subscription fees calculated per vehicle;

  • "Terms" or "Terms and Conditions" means these Website Terms and Conditions for Individual Users;

  • "Traffic Fine" or "Fine" means any traffic infringement notice, penalty, fine, or charge issued by an Issuing Authority;

  • "User", "you", or "your" means any individual who accesses or uses the Platform or Services;

2. Acceptance of terms

By accessing, browsing, or using the FineHub Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions, together with our Privacy Policy and any other policies referenced herein.

These Terms constitute a legally binding agreement between you and FineHub. If you do not agree to these Terms, you are not authorized to use the Platform or Services and must immediately cease all use.

We reserve the right to modify, amend, or update these Terms at any time. Any changes will be effective immediately upon posting on the Platform. Your continued use of the Platform following any changes constitutes your acceptance of such changes. We recommend that you review these Terms regularly.

If you are using the Platform on behalf of an employer or as part of a fleet management arrangement, you may be subject to additional terms and conditions under a separate Commercial Services Agreement. These Terms apply to your individual use of the Platform.

3. Eligibility and account registration

3.1 Eligibility Requirements

  • You must be at least 18 years of age to use the Platform and Services;

  • You must be a South African citizen or lawful resident with a valid South African ID document or passport;

  • You must possess a valid driver's license issued in South Africa;

  • You must have legal authority to accept these Terms on your own behalf;

  • You must not be prohibited by law from accessing or using the Services;

  • You warrant that all information provided during registration is accurate, complete, and current.

3.2 Account Registration

  • To access the Services, you must create an Account by providing accurate and complete information including your full name, South African ID number, driver's license details, contact details, and vehicle registration information;

  • You are responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account;

  • You must notify us immediately of any unauthorized use of your Account or any security breach;

  • FineHub reserves the right to suspend or terminate your Account if any information provided is false, inaccurate, outdated, or incomplete;

  • You may not create multiple Accounts or allow others to use your Account;

  • You are solely responsible for ensuring that your contact details are current and accurate to receive important communications regarding your traffic fines.

4. Description of services

FineHub provides the following Services through the Platform:

4.1 Traffic Fine Aggregation

  • Consolidation of traffic fine data from multiple sources including AARTO, RTMS, NATIS, Subscription-Based Enforcement Providers, and municipal systems;

  • Real-time or near real-time updates on the status of your traffic fines;

  • Dashboard access providing a centralized view of all your outstanding traffic fines;

  • Notifications and alerts regarding new fines, payment due dates, and enforcement actions;

  • Historical records and reporting of all fines associated with your registered vehicles.

4.2 Payment Processing Services

  • Facilitation of payment for traffic fines to relevant Issuing Authorities;

  • Consolidated payment options allowing settlement of multiple fines in a single transaction;

  • Processing of payments to AARTO, RTMS, NATIS, Subscription-Based Enforcement Providers, and municipalities;

  • Payment confirmation and receipt generation;

  • Remittance of payments to the relevant authorities on your behalf.

4.3 Redirection Services

  • Assessment of traffic fines for potential redirection to the actual driver or responsible party;

  • Where applicable and requested by you, redirection of fines before payment is processed;

  • Liaison with Issuing Authorities to facilitate fine redirection where permitted by law;

  • Guidance on the redirection process and eligibility requirements;

  • Follow-up on redirection requests to ensure proper processing.

4.4 Representation Services

  • Assessment of traffic fine infringements for potential legal representation;

  • Legal representation in traffic infringement proceedings where you elect to contest a fine;

  • Liaison with AARTO, RTMS, traffic courts, and relevant authorities on your behalf;

  • Appeal and review processes where appropriate and legally available;

  • Representation at traffic court hearings and administrative proceedings.

4.5 Priority of Redirection Over Payment

Where relevant, applicable, and requested by you, FineHub shall prioritize redirection of traffic fines before processing payment, provided that:

  • The infringement qualifies for redirection under applicable legislation;

  • You provide accurate and complete information as required in Clause 7;

  • The redirection is requested within the prescribed time periods set by the relevant Issuing Authority;

  • The Issuing Authority accepts and processes redirection requests for that particular infringement type.

You acknowledge and understand that not all fines are eligible for redirection, and the decision to accept or reject a redirection request rests solely with the Issuing Authority.



5. Fees, pricing and payment obligations

5.1 Service Fees

FineHub charges fees for the Services provided through the Platform. Our current fee structure is available on the Platform and may include:

  • Transaction fees for processing individual fine payments;

  • Representation fees for legal representation services;

  • Success fees calculated as a percentage of the fine amount saved through successful representation;

  • Subscription fees for premium features or enhanced service levels;

  • Administrative fees for specific services such as urgent processing or manual interventions.

The specific fees applicable to your use of the Services are set out on the Platform and are incorporated into these Terms by reference. You are responsible for reviewing the applicable fees before using any Service.

5.2 Pass-Through Fees

  • Subscription-Based Enforcement Providers charge Subscription Fees calculated on a per-vehicle basis. These fees are passed through to you without markup, as FineHub acts solely as an intermediary for these charges;

  • You acknowledge and agree that Subscription Fees are charged by third-party enforcement providers and are not within FineHub's control;

  • Subscription Fees are recurring monthly charges and will continue until you deregister the relevant vehicle or cancel the subscription through the Platform;

  • FineHub will notify you of applicable Subscription Fees before processing registration with Subscription-Based Enforcement Providers.

5.3 Payment Terms

  • You authorize FineHub to debit your designated payment method for all Service fees, traffic fine amounts, and pass-through charges;

  • Payment is due immediately upon your instruction to process a fine payment or utilize a Service;

  • You are responsible for ensuring sufficient funds are available in your payment method to cover all charges;

  • All fees are exclusive of VAT, which shall be added at the prevailing rate where applicable;

  • FineHub uses secure third-party payment processors to handle all payment transactions. You agree to comply with the terms and conditions of such payment processors.

5.4 Enforcement Orders

  • Any Enforcement Orders issued by Issuing Authorities must be paid immediately upon your becoming aware of them;

  • Enforcement Orders represent urgent payment demands that may result in additional penalties, vehicle impoundment, arrest warrants, or legal action if not settled immediately;

  • You acknowledge that FineHub cannot prevent or reverse the consequences of unpaid Enforcement Orders;

  • FineHub strongly recommends prompt payment of Enforcement Orders to avoid escalating penalties and legal consequences.

5.5 Fee Increases

  • FineHub reserves the right to modify, increase, or introduce new fees at any time;

  • We will provide you with reasonable notice of any fee changes through the Platform or by email;

  • Your continued use of the Services following notice of fee changes constitutes your acceptance of such changes;

  • If you do not agree to fee increases, you may terminate your Account in accordance with Clause 18.

5.6 Refunds

Service fees paid to FineHub are generally non-refundable except:

  • Where FineHub has made an error in processing your payment and you have been overcharged;

  • Where a Service was not delivered due to FineHub's fault;

  • Where required by law or consumer protection regulations.

Traffic fine amounts paid to Issuing Authorities are not refundable by FineHub. Any refunds or disputes regarding traffic fines must be taken up directly with the relevant Issuing Authority.



6. You obligations and responsibilities

6.1 Accurate Information

  • You must provide accurate, complete, and current information when creating your Account and using the Services;

  • You must ensure that your ID documents, driver's license, and vehicle registration details are valid and up to date;

  • You must notify FineHub immediately of any changes to your personal information, contact details, or vehicle ownership;

  • You are required to update your information within five (5) business days of any change to your ID documents, driver's license, or vehicle registration;

  • You acknowledge that FineHub cannot process fine requests, provide Redirection Services, or Representation Services where your information is missing, expired, or invalid.

6.2 Consequences of Incorrect or Outdated Information

You acknowledge and agree that:

  • FineHub shall not be obligated to process fine payments, redirection requests, or representation matters where you have failed to provide complete, accurate, or current information;

  • Any penalties, interest, enforcement action, or legal consequences arising from delays caused by missing, expired, or outdated information shall be entirely your responsibility;

  • FineHub reserves the right to suspend Services until such information is provided and verified;

  • You shall not hold FineHub liable for any adverse outcomes resulting from your failure to maintain accurate and current information.

6.3 Compliance with Laws

  • You warrant that you shall comply with all applicable traffic laws, regulations, and bylaws in the Republic of South Africa;

  • You shall not use the Services to facilitate any unlawful activity, including but not limited to evading legitimate traffic fines or providing false information to authorities;

  • You remain legally responsible for all traffic offenses committed while operating or having custody of your registered vehicles;

  • The Services do not absolve you of legal responsibility for traffic violations.

6.4 Payment Obligations

  • You are solely responsible for ensuring that all traffic fines registered against your vehicles are paid timeously;

  • You must maintain sufficient funds in your designated payment method to cover all fines, Service fees, and pass-through charges;

  • You acknowledge that failure to pay fines may result in enforcement action, penalties, interest charges, vehicle impoundment, or other legal consequences;

  • FineHub is not responsible for monitoring your payment obligations or ensuring that you pay your fines on time.

6.5 Prohibited Conduct

You agree that you shall not:

  • Use the Platform or Services for any unlawful purpose or in violation of these Terms;

  • Attempt to gain unauthorized access to the Platform, other users' Accounts, or FineHub's systems;

  • Use any automated means, including bots, scrapers, or robots, to access the Platform without our express written permission;

  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Platform;

  • Upload or transmit viruses, malware, or any other malicious code;

  • Interfere with or disrupt the operation of the Platform or servers;

  • Impersonate another person or entity or falsely state or misrepresent your affiliation with any person or entity;

  • Use the Platform to harass, abuse, threaten, or intimidate any person;

  • Collect or store personal information about other users without their consent;

  • Use the Services to create a competing product or service.

7. Finehub's rights and obligations

7.1 Service Delivery

  • FineHub shall use commercially reasonable efforts to provide the Services with reasonable care and skill;

  • FineHub shall use commercially reasonable efforts to maintain the Platform in accordance with industry standards;

  • FineHub shall comply with all applicable laws and regulations in the performance of the Services, including POPIA;

  • FineHub shall maintain appropriate systems and processes for data security and backup.

7.2 Service Levels and Platform Availability

  • FineHub shall use commercially reasonable efforts to maintain Platform availability, but does not guarantee uninterrupted or error-free operation;

  • The Platform may be unavailable from time to time for scheduled maintenance, upgrades, emergency repairs, or due to circumstances beyond FineHub's control;

  • FineHub shall endeavor to provide advance notice of scheduled maintenance where reasonably possible;

  • Traffic fine data shall be updated on the Platform as soon as reasonably practicable after receipt from Issuing Authorities, subject to the availability and responsiveness of third-party systems.

7.3 Right to Refuse Service

FineHub reserves the right to:

  • Refuse to process any transaction or provide any Service if we suspect fraud, illegal activity, or violation of these Terms;

  • Suspend or terminate your Account if you breach these Terms or engage in prohibited conduct;

  • Decline representation in any matter where we determine that representation is not viable, would be unethical, or would conflict with our obligations;

  • Modify, suspend, or discontinue any aspect of the Platform or Services at any time with reasonable notice.

8. Disclaimers and warranties

8.1 Service Disclaimer

THE PLATFORM AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the fullest extent permitted by law, FineHub disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to:

  • Warranties of merchantability, fitness for a particular purpose, and non-infringement;

  • Warranties that the Platform will be uninterrupted, error-free, secure, or free from viruses or other harmful components;

  • Warranties regarding the accuracy, completeness, or reliability of any information obtained through the Platform;

  • Warranties that defects or errors will be corrected;

  • Warranties regarding the results that may be obtained from use of the Services.

8.2 No Guarantee of Outcomes

  • FineHub does not warrant or guarantee specific outcomes in representation matters, redirection requests, or appeals;

  • FineHub does not guarantee successful cancellation, reduction, or redirection of fines;

  • The success of any representation, redirection, or appeal depends on factors beyond FineHub's control, including the merits of the case, the decisions of authorities and courts, and applicable laws and regulations;

  • You acknowledge that engaging FineHub's Services does not guarantee a favorable outcome.

8.3 Third-Party Systems

  • FineHub relies on third-party systems including AARTO, RTMS, NATIS, municipal systems, and Subscription-Based Enforcement Provider systems;

  • FineHub does not warrant or guarantee the accuracy, completeness, or timeliness of information provided by third-party systems;

  • FineHub is not responsible for errors, delays, outages, or failures in third-party systems;

  • You acknowledge that FineHub has no control over third-party systems and cannot be held liable for their performance or failures.

8.4 Legal Advice Disclaimer

  • The information and Services provided by FineHub do not constitute legal advice;

  • You should seek independent legal advice if you require legal advice regarding your specific circumstances;

  • Where FineHub provides Representation Services, such services are provided on a best-efforts basis and do not guarantee any particular outcome;

  • The legal representation provided through the Platform is limited to traffic fine matters and does not extend to other legal issues.

9. Limitation of Liability

9.1 No Liability for User Errors

TO THE FULLEST EXTENT PERMITTED BY LAW, FINEHUB SHALL NOT BE LIABLE FOR ANY LOSS, DAMAGE, OR ADVERSE CONSEQUENCES ARISING FROM:

  • Incorrect, incomplete, or outdated information provided by you;

  • Your failure to update information timeously in accordance with Clause 6;

  • Missing, expired, or invalid ID documents, driver's license, or vehicle registration;

  • Errors, delays, or failures in third-party systems including AARTO, RTMS, NATIS, Subscription-Based Enforcement Providers, or municipal systems;

  • Your failure to pay fines timeously or to maintain sufficient funds in your payment method;

  • Actions or decisions by Issuing Authorities, courts, or other government entities;

  • Force majeure events or circumstances beyond FineHub's reasonable control.

9.2 General Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, FINEHUB'S TOTAL AGGREGATE LIABILITY UNDER THESE TERMS, WHETHER IN CONTRACT, DELICT, OR OTHERWISE, SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO FINEHUB IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR R1,000.00 (ONE THOUSAND RAND), WHICHEVER IS GREATER.

9.3 Exclusion of Consequential Damages

TO THE FULLEST EXTENT PERMITTED BY LAW, FINEHUB SHALL NOT BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, SPECIAL, INCIDENTAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, business, revenue, or anticipated savings;

  • Loss of data or information;

  • Loss of opportunity or goodwill;

  • Business interruption;

  • Personal injury or property damage arising from your use of the Platform or Services;

  • Legal fees, fines, or penalties imposed by authorities;

  • Enforcement action, vehicle impoundment, or arrest arising from unpaid fines;

  • Any other damages arising from your use of or inability to use the Platform or Services.

9.4 Exclusions from Limitation

Nothing in these Terms shall limit or exclude FineHub's liability for:

  • Death or personal injury caused by FineHub's gross negligence;

  • Fraud or fraudulent misrepresentation;

  • Any other liability that cannot be excluded or limited by law.

9.5 Basis of Bargain

You acknowledge and agree that the limitations and exclusions of liability set out in this Clause 9 are reasonable and form an essential basis of the agreement between you and FineHub. The fees charged for the Services reflect the allocation of risk set out in these Terms. Without these limitations, FineHub would not be able to provide the Services at the current pricing.

10. Indemnification

You agree to indemnify, defend, and hold harmless FineHub, its affiliates, officers, directors, employees, agents, and contractors from and against any and all claims, liabilities, damages, losses, costs, expenses (including reasonable legal fees), arising out of or related to:

  • Your breach of these Terms or any applicable law or regulation;

  • Your use or misuse of the Platform or Services;

  • Your violation of any rights of another person or entity;

  • Inaccurate, incomplete, or outdated information provided by you;

  • Traffic offenses committed by you or using vehicles registered in your name;

  • Your failure to pay traffic fines or maintain sufficient funds in your payment method;

  • Any representations or warranties made by you that prove to be false;

  • Any claim that your use of the Services infringes or violates any third-party rights;

  • Your negligence or willful misconduct.

This indemnification obligation shall survive termination of these Terms and your use of the Services. FineHub reserves the right to assume exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with FineHub in asserting any available defenses.

11. Data Protection and Privacy

11.1 POPIA Compliance

  • FineHub processes your Personal Information in accordance with POPIA and applicable data protection laws;

  • FineHub acts as a Responsible Party for the purposes of processing your Personal Information;

  • By using the Platform, you consent to the processing of your Personal Information in accordance with our Privacy Policy;

  • You have rights under POPIA including rights to access, correction, deletion, and objection to processing of your Personal Information.

11.2 Privacy Policy

Our Privacy Policy, available on the Platform, sets out in detail:

  • What Personal Information we collect;

  • How we collect, use, and process your Personal Information;

  • With whom we share your Personal Information;

  • How we protect your Personal Information;

  • Your rights under POPIA and how to exercise them;

  • How to contact us regarding privacy matters.

The Privacy Policy is incorporated into these Terms by reference and forms part of the agreement between you and FineHub.

11.3 Consent to Processing

By creating an Account and using the Services, you expressly consent to:

  • The collection, processing, and storage of your Personal Information for the purposes of providing the Services;

  • The sharing of your Personal Information with Issuing Authorities, payment processors, and other third parties as necessary to provide the Services;

  • The processing of your traffic fine information, vehicle registration details, driver's license information, and ID documents;

  • The use of your information for analytics, Service improvement, and communication purposes;

  • The retention of your information for the periods specified in our Privacy Policy and as required by law.

You may withdraw your consent at any time by terminating your Account, subject to our right to retain information as required by law or for legitimate business purposes.

11.4 Data Security

  • FineHub implements appropriate technical and organizational measures to protect your Personal Information;

  • Despite our security measures, no system is completely secure, and FineHub cannot guarantee absolute security of your information;

  • You are responsible for maintaining the security of your Account credentials;

  • In the event of a data breach that poses a risk to your rights and freedoms, FineHub shall notify you and the Information Regulator as required by POPIA.

12. Intellectual Property Rights

12.1 FineHub's Intellectual Property

  • All intellectual property rights in the Platform, including software, systems, methodologies, processes, content, design, logos, trademarks, and documentation, are and shall remain the exclusive property of FineHub or its licensors;

  • These Terms do not grant you any ownership rights in the Platform or any intellectual property;

  • You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your personal use in accordance with these Terms;

  • This license terminates immediately upon termination of your Account or breach of these Terms.

12.2 Restrictions on Use

You agree that you shall not:

  • Copy, reproduce, modify, distribute, or create derivative works based on the Platform or any part thereof;

  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Platform;

  • Remove, alter, or obscure any copyright, trademark, or other proprietary notices on the Platform;

  • Use the Platform or any intellectual property for any commercial purpose other than your personal use;

  • Frame or mirror any part of the Platform without FineHub's prior written consent;

  • Use any automated means to access the Platform or collect information from the Platform.

12.3 User Content

  • You retain ownership of any content, information, or data you submit to the Platform ("User Content");

  • By submitting User Content, you grant FineHub a worldwide, non-exclusive, royalty-free license to use, reproduce, process, and store your User Content solely for the purpose of providing the Services;

  • You warrant that you have all necessary rights to submit your User Content and that it does not infringe any third-party rights;

  • FineHub may remove any User Content that violates these Terms or applicable law.

12.4 Feedback

If you provide FineHub with any feedback, suggestions, or ideas regarding the Platform or Services, you grant FineHub a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such feedback into the Platform or Services without any obligation to you.

13. Third-Party links and services

The Platform may contain links to third-party websites, services, or resources that are not owned or controlled by FineHub;

FineHub has no control over and assumes no responsibility for the content, privacy policies, or practices of any third-party websites or services;

You acknowledge and agree that FineHub shall not be responsible or liable for any damage or loss caused by or in connection with the use of any third-party websites or services;

We recommend that you review the terms and conditions and privacy policies of any third-party websites or services that you visit or use;

Links to third-party websites do not imply endorsement by FineHub of such websites or their content.




14. Communications and Notices

14.1 Electronic Communications

  • By creating an Account, you consent to receive electronic communications from FineHub, including emails, SMS messages, push notifications, and in-app messages;

  • Electronic communications may include information about the Services, your Account, traffic fines, payment reminders, service updates, and marketing communications;

  • You agree that electronic communications satisfy any legal requirement that communications be in writing;

  • You may opt out of marketing communications by following the unsubscribe instructions in such communications, but you may not opt out of transactional or service-related communications.

14.2 Notices to FineHub

All notices or other communications required or permitted under these Terms must be in writing and sent to:

14.3 Notices to You

FineHub may provide notices to you by email to the email address associated with your Account, by SMS to your registered mobile number, by posting on the Platform, or by any other reasonable means. Notices sent by email shall be deemed received 24 hours after sending.

15. Account Suspension and Termination

15.1 Termination by You

  • You may terminate your Account at any time by contacting us through the Platform or by sending written notice to the contact details in Clause 14;

  • Upon termination by you, you remain liable for all outstanding fees, fines, and charges incurred prior to termination;

  • Termination does not relieve you of your obligation to pay any traffic fines or resolve any outstanding matters with Issuing Authorities.

15.2 Termination and Suspension by FineHub

FineHub may suspend or terminate your Account immediately without notice if:

  • You breach any provision of these Terms;

  • You engage in prohibited conduct as set out in Clause 6.5;

  • You provide false, inaccurate, or misleading information;

  • You fail to pay any fees, fines, or charges when due;

  • We suspect fraudulent, illegal, or unauthorized activity on your Account;

  • We are required to do so by law or by order of a court or regulatory authority;

  • We decide to discontinue the Platform or Services, in which case we shall provide reasonable notice where practicable.

15.3 Consequences of Termination

Upon termination or suspension of your Account:

  • Your access to the Platform and Services shall be immediately revoked;

  • You remain liable for all outstanding fees, fines, and charges;

  • FineHub shall have no obligation to provide you with any data or information previously accessible through your Account, except as required by law;

  • FineHub may retain your information as required by law or for legitimate business purposes as set out in the Privacy Policy;

  • Clauses 5 (payment obligations), 9 (limitation of liability), 10 (indemnification), 11 (data protection), 12 (intellectual property), 16 (confidentiality), 19 (dispute resolution), and 20 (general provisions) shall survive termination.


16. Confidentiality

You acknowledge that in the course of using the Services, you may have access to confidential information regarding FineHub's business, systems, methodologies, and processes;

You agree to keep all such confidential information strictly confidential and not to disclose it to any third party;

You shall not use any confidential information for any purpose other than using the Services in accordance with these Terms;

This confidentiality obligation does not apply to information that is publicly available, lawfully obtained from a third party, or required to be disclosed by law;

This confidentiality obligation shall survive termination of these Terms for a period of 5 years.


17. Force Majeure

FineHub shall not be liable for any failure or delay in performing its obligations under these Terms if such failure or delay is due to circumstances beyond its reasonable control;

Force majeure events include acts of God, natural disasters, pandemics, epidemics, war, terrorism, civil unrest, government actions, strikes, labor disputes, telecommunications failures, power outages, third-party system outages, and failures by Issuing Authorities or their systems;

In the event of a force majeure event, FineHub shall use commercially reasonable efforts to mitigate the impact and resume performance as soon as reasonably practicable;

If a force majeure event continues for more than 60 days, either party may terminate the affected Services upon written notice.


18. Changes to Services and Terms

18.1 Changes to Services

  • FineHub reserves the right to modify, suspend, or discontinue any aspect of the Platform or Services at any time, with or without notice;

  • FineHub may add new features, remove existing features, or change the functionality of the Platform;

  • We shall endeavor to provide reasonable notice of material changes that significantly affect your use of the Services;

  • You acknowledge that your continued use of the Platform following any changes constitutes your acceptance of such changes.

18.2 Changes to Terms

  • FineHub may modify these Terms at any time by posting updated Terms on the Platform;

  • We shall notify you of material changes to these Terms by email or by a notice on the Platform;

  • Your continued use of the Platform following notice of changes constitutes your acceptance of the modified Terms;

  • If you do not agree to the modified Terms, you must cease using the Platform and terminate your Account;

  • The "Last Updated" date at the top of these Terms indicates when the Terms were last revised.


19. Dispute resolution and governing law

19.1 Governing Law

These Terms and Conditions are governed by the laws of the Republic of South Africa. Any disputes arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of South Africa.

19.2 Negotiation

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the Services, the parties agree to first attempt to resolve the dispute through good-faith negotiation within 14 days of written notice of the dispute.

19.3 Mediation

If the dispute cannot be resolved through negotiation, the parties agree to submit the dispute to mediation before a mutually agreed mediator. The costs of mediation shall be shared equally between the parties.

19.4 Legal Action

If the dispute is not resolved through mediation within 30 days, either party may pursue legal action in the appropriate courts of South Africa.

19.5 Urgent Relief

Nothing in this clause shall prevent either party from seeking urgent interim relief from a court of competent jurisdiction, including interdict or specific performance.


20. General Provisions

20.1 Entire Agreement

These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and FineHub regarding your use of the Platform and Services and supersede all prior agreements, understandings, and representations, whether written or oral.

20.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be replaced with a valid provision that most closely reflects the intent of the original provision.

20.3 Waiver

No waiver of any provision of these Terms shall be effective unless in writing and signed by FineHub. No waiver of any breach shall constitute a waiver of any subsequent breach or of the provision itself.

20.4 Assignment

You may not assign, transfer, or delegate any of your rights or obligations under these Terms without FineHub's prior written consent. FineHub may assign these Terms to any affiliate, successor, or purchaser of its business or assets without your consent.

20.5 Relationship of Parties

You and FineHub are independent contractors. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and FineHub.

20.6 No Third-Party Beneficiaries

These Terms are for the benefit of you and FineHub only and do not confer any rights upon any third party.

20.7 Interpretation

  • Headings are for convenience only and do not affect interpretation;

  • Words importing the singular include the plural and vice versa;

  • Words importing any gender include the other genders;

  • References to persons include natural persons, companies, and other legal entities;

  • References to laws include amendments and re-enactments thereof.

20.8 Survival

Provisions of these Terms that by their nature should survive termination shall survive, including provisions relating to payment obligations, intellectual property, limitation of liability, indemnification, data protection, confidentiality, dispute resolution, and general provisions.

20.9 Electronic Signatures

The parties agree that these Terms may be accepted electronically, and such electronic acceptance shall be legally binding in accordance with the Electronic Communications and Transactions Act 25 of 2002.
